HOA Board of Directors (BoD)

Curious about what the role of a board member does?

Below is a list of specific duties each position on the board is responsible for as per the HOA bylaws. Please fill free to reachout to any one of the members with any questions.

President

  • Preside at all BoD meetings and Association meetings
  • Oversee all BoD actions
  • Sign Leases, Mortgages, Deeds
  • Enforce CC&R Compliance
  • Any duties assigned by the BoD

Vice President

  • Oversee Committee and Focal duties; ACC, Landscape (incl. common/entrance), Gates, Fountains
  • Serve as back-up to the President
  • Any duties assigned by the BoD

Secretary

  • Create and distribute BoD and Assoc. meeting notices to Owners; facilitate mtg logistics 
  • Manage and record votes for BoD and Association meetings 
  • Keep and distribute minutes of BoD and Association meetings  
  • Maintain resident data base and annually distribute the Neighborhood Directory 
  • Issue general communication to Owners 
  • Any duties assigned by the BoD

Treasurer

  • HOA Accounting (Receive, deposit, disburse all funds) 
  • Prepare report of budget and statement of income and expenditures at all meetings 
  • Bi-Annual Audit coordinator 
  • Accounting Firm Oversight (Schram & Associates) 
  • Provide all information requested by potential buyers
  • Any duties assigned by the BoD
  • Notify Owners, in writing, of dues and assessments 30 days in advance of due date

Member-at-large

  • Oversee design and maintenance of website 
  • Oversee annual events & volunteer coordinators; Garage sale, Easter Egg Hunt, Summer Patio, Socials, Summer BBQ, Outdoor Movie Night, Holiday Dinner, Holiday Display 
  • Any duties assigned by the BoD

Mission of the Board of Director

MEETINGS of the BOARD of DIRECTORS (BoD)

  1. No Board Member shall server more than 2  consecutive terms
  2. The BoD shall vote amongst themselves for the position of office for each member, within 30 days after the Annual mtg
  3. The BoD shall appoint new Board Directors to fill the remainder of the open position
  4. The BoD shall receive no monetary or other compensation; actual expenses may be reimbursed when performing their duties
  5.  At all BoD mtgs, a majority (3 Directors) is considered a quorum
  6.  BoD meetings are required quarterly, at a minimum; 30 days’ notice given to Owners (they may attend).  Minutes are kept and presented at annual mtg
  7.  When Owner submits a concern, the BoD must respond in writing
  8.  BoD may hold Special meetings; minutes are kept and presented at annual mtg
  9.  Annual meeting is held each fiscal year, with 30-day notice to Owners in writing

POWER of the BOARD of DIRECTORS

  1.  Levy and collect dues, fees, assessments to properly maintain, improve and manage the property, assets, and facilities
  2. Employ others to fix and prescribe the duties
  3. Govern rules and regulations of the Common Areas, including personal conduct of Owners and guests; establish penalties and enforce infractions
  4. Suspend Owner's rights and levy fines when in violation of the Bylaws/CC&R
  5. Organize and appoint committee members  necessary to carry out the duties
  6. The ACC has (3) members; 1 member rotates on and off every year

GENERAL DUTIES of the BOARD of DIRECTORS

  1. Enforce CC&R and Bylaws
  2. Supervise all activity on behalf of the HOA, to ensure duties are properly performed
  3. Keep a complete record of all actions
  4. Fiscal responsibility and bonded as appropriate
  5. Supervise the maintenance and upkeep of the Common Areas and Facilities
  6. Maintain liability and hazard insurance on HOA property
  7. Lien against Owner in default after 180 days past due
  8. Recommend changes and additions to the CC&R's or Bylaws, as necessary
